By accessing or using the Platform, you signify your irrevocable and unconditional agreement to be bound by these Terms and Conditions, the Privacy Policy, the Refund Policy, the Return Policy, the Cancellation Policy, and all other applicable policies and guidelines posted on the Platform (collectively, the "Agreement"). If you do not agree to all of the terms of the Agreement, do not use the Platform.

In terms of the Information Technology Act, 2000, this document is an electronic record and being generated by a computer system does not require any physical or digital signatures.

This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries Guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and Terms of Use for access or usage of https://www.medxtra.in/ or the application "Medxtra".

1. www.medxtra.in and Medxtra App

1.1. The domain name https://www.medxtra.in and the Medxtra mobile application are owned and operated by M/s. [Your Company Name] Private Limited, a company duly incorporated under the provisions of the Companies Act, having its registered address at [Your Company Address].

1.2. Your access to or use of the Platform, transactions conducted on the Platform, and use of the services hosted or managed remotely through the Platform are governed by this Agreement. This Agreement constitutes a legally binding agreement between You ("You" or "Your" or "Customer" or "User" or "Caregiver") and Medxtra.

1.3. Medxtra reserves the right to modify or terminate any portion of the Platform or any services offered by Medxtra for any reason, without notice and without liability to You or any third party. To make sure You are aware of any changes, please review these Terms and Conditions periodically.

1.4. You acknowledge that Medxtra, at its sole discretion, may monitor Your access to or use of the Platform.

2. Services Offered

Medxtra provides a technology platform that connects users with licensed pharmacies, diagnostic centers, and healthcare professionals to facilitate:

• Online ordering and delivery of prescription and over-the-counter (OTC) medicines.
• Booking of diagnostic tests and collection of samples.
• Consultation with healthcare professionals.
• Access to health-related information and content.

All services are subject to the terms and conditions of the respective service providers (pharmacies, diagnostic centers, doctors) and applicable laws and regulations.

3. User Account and Registration

3.1. To access certain features of the Platform, You may be required to register for an account and provide certain information, including but not limited to Your name, email address, mobile number, and age. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2. You are responsible for safeguarding Your password and for all activities that occur under Your account. You agree to notify Medxtra immediately of any unauthorized use of Your account.

3.3. Medxtra reserves the right to suspend or terminate Your account if any information provided during the registration process or thereafter proves to be inaccurate, fraudulent, not current, or incomplete.

4. Prescription Medicines

4.1. Medxtra is an intermediary platform. All prescription medicines are dispensed by licensed pharmacies partnered with Medxtra. Medxtra does not dispense medicines directly.

4.2. For prescription medicines, a valid prescription from a registered medical practitioner is mandatory. You must upload a clear, legible copy of the prescription when placing an order.

4.3. The partner pharmacy reserves the right to refuse to dispense medicine if the prescription is found to be invalid, incomplete, or if there are any concerns regarding its authenticity or legality.

4.4. You agree that You are purchasing medicines for Your personal consumption and not for resale.

5. Diagnostic Services

5.1. Medxtra partners with NABL-accredited diagnostic laboratories to offer diagnostic services. Medxtra is not a diagnostic lab itself.

5.2. For certain tests, a prescription from a registered medical practitioner may be required. You are responsible for providing the necessary prescription.

5.3. The diagnostic lab will be responsible for sample collection, testing, and report generation. Medxtra facilitates the booking and delivery of reports.

6. Pricing and Payments

6.1. All prices listed on the Platform are in Indian Rupees (₹) and are inclusive of applicable taxes unless otherwise stated.

6.2. Medxtra reserves the right to change prices for products and services at any time. The price applicable to Your order will be the price at the time You place Your order.

6.3. Payment methods accepted include credit/debit cards, net banking, UPI, and cash on delivery (COD) where available. You agree to bear any transaction charges applicable to Your chosen payment method.

6.4. In case of failed payments, Medxtra will not be responsible for any losses incurred by You.

7. Delivery and Shipping

7.1. Delivery times are estimates and may vary based on location, product availability, and other factors. Medxtra will endeavor to deliver products within the estimated timeframes but does not guarantee specific delivery times.

7.2. Delivery charges, if any, will be communicated to You at the time of placing the order.

7.3. It is Your responsibility to ensure that someone is available to receive the order at the delivery address. If delivery cannot be completed due to Your unavailability, additional charges may apply for re-delivery.

8. Cancellations, Returns, and Refunds

9. Intellectual Property

All content on the Medxtra Platform, including text, graphics, logos, images, audio clips, video clips, data compilations, and software, is the property of Medxtra or its content suppliers and is protected by Indian and international copyright, trademark, and other intellectual property laws.

10. Limitation of Liability

10.1. Medxtra acts as an intermediary connecting users with healthcare providers. Medxtra shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if Medxtra has been advised of the possibility of such damages), resulting from:

• The use or the inability to use the Platform or services.
• The cost of procurement of substitute goods and services resulting from any goods, data, information, or services purchased or obtained or messages received or transactions entered into through or from the Platform.
• Unauthorized access to or alteration of Your transmissions or data.
• Statements or conduct of any third party on the Platform.
• Any other matter relating to the Platform or the services.

10.2. Notwithstanding anything contained herein, Medxtra's total liability to You for all damages, losses, and causes of action (whether in contract, tort including, but not limited to, negligence, or otherwise) will not exceed the amount paid by You for the product or service giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Medxtra, its affiliates, officers, directors, employees, consultants, licensors, agents, and representatives from any and all third-party claims, losses, liability, damages, and/or costs (including reasonable attorney fees and costs) arising from Your access to or use of the Platform, Your violation of these Terms and Conditions, or Your infringement of any intellectual property or other right of any person or entity.

12. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any dispute or claim arising out of or in connection with these Terms and Conditions, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, with the seat of arbitration being [City, State]. Refund Policy

2. Refund for Cancelled Orders

If you cancel an order before it has been processed for dispatch:

If an order is cancelled after dispatch but before delivery, the refund will be processed after the product is returned to the partner pharmacy/diagnostic center and inspected.

3. Refund for Returned Products

For eligible returns (as per our Return Policy), a refund will be initiated after the returned product has been received and inspected by the partner pharmacy/diagnostic center.

• The product must be in its original, unopened, and unused condition.
• The original packaging and any accompanying accessories must be intact.
• Perishable goods, medicines requiring cold chain, or products with tampered seals are generally not eligible for return or refund.

4. Refund for Unavailable Items

If an item in your order is unavailable or out of stock after you have made the payment:

• We will inform you of the unavailability.
• You will have the option to replace the item, wait for its availability, or request a refund for the specific unavailable item.
• If you choose a refund, it will be processed for the value of the unavailable item.

5. Refund for Service Failures

• Products without original packaging or with tampered seals.
• Digital products or services once accessed.
